Terms of Service

Notice: These Terms of Service are provided for general reference. They are not legal advice. X Point recommends that institutional customers consult with their own legal counsel regarding these terms, particularly around FERPA compliance, data processing obligations, and institutional liability. 1. Acceptance of Terms

By downloading, installing, or using Solus (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Solus on behalf of an institution or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Solus is a desktop writing application that cryptographically records and signs keystroke events to produce tamper-evident documents ("Solus documents" or ".solus files"). The Service includes the desktop application, the teacher dashboard, institutional admin portal, and the public document verifier.

3. Account Registration

To use certain features of the Service, you must create an account. You are responsible for maintaining the security of your account credentials. You agree to provide accurate information and to notify us promptly of any unauthorized access to your account.

Institutional accounts require an application through apply.soluseditor.com. X Point reserves the right to approve or deny institutional applications at its discretion.

4. Permitted Use

The Service is intended for educational and professional use. Permitted uses include:

  • Students writing and submitting academic work
  • Teachers verifying and grading submitted documents
  • Institutions managing academic integrity workflows
  • Employers, journals, or other parties verifying document authenticity

Prohibited uses include using the Service to manufacture false evidence, circumvent the signing mechanism, or misrepresent document authorship.

5. Prohibited Conduct

You agree not to:

  • Attempt to circumvent or reverse-engineer the cryptographic signing mechanism
  • Use the Service to produce fraudulent documents or false authorship certificates
  • Share account credentials or allow others to write documents under your account identity
  • Distribute or resell the Service without written authorization from X Point
  • Use the Service in any way that violates applicable law, including FERPA and other student privacy regulations

6. Intellectual Property

Solus, the X Point name, the .solus file format, and the keystroke-signing method are proprietary to X Point and subject to a pending patent application. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain all intellectual property rights in documents you create using the Service. X Point does not claim ownership of your writing.

7. Pricing and Payment

The student-facing application is and will remain free of charge. Professional and Enterprise subscriptions are billed annually in USD. Prices are subject to change with 30 days' notice to active subscribers.

Institutional customers may request invoice or purchase-order billing. Subscriptions do not auto-renew without affirmative action for institutional accounts.

8. Cancellation and Refunds

You may cancel your subscription at any time. Refunds are available on a pro-rata basis within 30 days of purchase. After 30 days, subscriptions are non-refundable except where required by applicable law.

Upon cancellation, your teacher dashboard and class management features will be deactivated at the end of your billing period. All .solus files remain accessible and verifiable through the public verifier.

9. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Document content is encrypted and stored locally by default; X Point does not have access to the plaintext of your essays.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. X POINT DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES. USE OF THE SERVICE FOR ACADEMIC INTEGRITY ENFORCEMENT DECISIONS IS AT YOUR OWN DISCRETION AND RISK.

X Point does not represent that Solus verification constitutes legal proof of authorship in any jurisdiction. Verification results are technical findings to be evaluated alongside other evidence in academic integrity proceedings.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, X POINT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID X POINT IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL X POINT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless X Point and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

X Point may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by contacting us at cameroncgilbert@gmail.com.

14. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Spokane County, Washington.

15. Changes to These Terms

X Point reserves the right to modify these Terms at any time. Material changes will be communicated by email (for registered users) and by updating the "Last updated" date above. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
